1. Who you are contracting with
Winbrio is operated by Ecomverge LLC (“Ecomverge”, “we”, “us”, “our”). These Terms & Conditions (“Terms”) form a binding agreement between you and Ecomverge LLC governing your access to and use of the Winbrio software service, including its website, applications and AI-generated outputs (together, the “Service”).
2. Acceptance of these Terms
By creating an account, subscribing to a plan, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service. We may update these Terms from time to time; continued use of the Service after an update constitutes acceptance of the revised Terms. If you are using the Service on behalf of a company or organisation, you confirm that you have authority to bind that entity to these Terms.
3. The Service
Winbrio is an AI-powered client acquisition platform for freelancers, consultants and agencies. It generates proposals, outreach messages, follow-ups and invoices based on the information you provide. The Service is provided on a subscription basis across our Starter, Pro and Agency plans, each of which begins with a paid trial period.
4. Your account
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate and complete information when creating an account and keep it up to date. You must notify us promptly if you suspect unauthorised use of your account.
5. Acceptable use
You must not misuse the Service. In particular, you must not:
- use the Service for any unlawful purpose or in violation of any applicable law;
- engage in fraud, spam, or sending unsolicited bulk messages;
- infringe the intellectual property or other rights of any person;
- interfere with the security of the Service, including introducing malware, probing or scanning for vulnerabilities, or circumventing authentication;
- scrape, harvest or extract data from the Service other than your own generated content;
- generate content that is illegal, that constitutes hate speech or harassment, or non-consensual intimate imagery or deepfakes of real individuals;
- attempt to jailbreak, bypass or circumvent the safety filters of the AI models used by the Service;
- reverse engineer, resell or redistribute the Service, or circumvent usage limits.
You are responsible for the prompts you submit, how you use the outputs generated for you, and verifying the accuracy of outputs before relying on them. You confirm you have all necessary rights to the content you submit as input.
6. AI-generated content
The Service uses generative AI. Outputs may be inaccurate, incomplete or unsuitable for your purposes, and are not professional, legal or financial advice. You should review all outputs before sending them to clients. You retain rights to the inputs you provide; you receive a licence to use the outputs generated for you. If you believe any content generated through the Service infringes your rights, contact us using the details in these Terms; we will investigate and may remove content, restrict features, or suspend accounts involved in repeated infringement. We may moderate, filter or refuse generated content and may suspend accounts that breach these Terms.
7. Fees, trials and subscriptions
The Service is billed on a subscription basis. Every plan starts with a paid trial (the length of which depends on your chosen plan), after which your subscription renews automatically each month until cancelled. Usage limits apply per plan and are enforced within the Service; unused allowances do not roll over. All payments, billing, taxes, cancellations and refund mechanics are handled by our online reseller Paddle.com, as described in section 8 and in our Refund Policy.
8. Payment processing and Paddle as Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Paddle’s Buyer Terms apply to your purchase and govern payment, billing, taxes, cancellation and refund mechanics. You can manage your subscription or request a refund at paddle.net.
9. Intellectual property
The Service, including its software, design, documentation and branding, is owned by Ecomverge LLC and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service within the limits of your selected plan. You retain ownership of the content you create with the Service and the client data you store in it. You grant us a limited licence to host and process that content solely as needed to provide the Service to you.
10. Service level and availability
We aim to keep the Service available and reliable, but we do not guarantee that the Service will be uninterrupted, timely or error-free. We may modify, suspend or discontinue parts of the Service, with reasonable notice where practical.
11. Suspension and termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay amounts due, create a security or fraud risk, or repeatedly or seriously violate our policies. When your access ends, you may export your stored content for a reasonable period on request; after that, we may delete it in line with our Privacy Notice.
12. Disclaimers and limitation of liability
To the fullest extent permitted by law, the Service is provided “as is” and “as available”, and we disclaim all implied warranties, including merchantability and fitness for a particular purpose. To the fullest extent permitted by law, Ecomverge LLC’s aggregate liability arising out of or relating to the Service is limited to the fees you paid to us in the six (6) months preceding the claim, and we are not liable for indirect, consequential or special damages, including loss of profits, data or goodwill. Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be limited by law. You agree to indemnify us against claims arising from content you submit, your unlawful use of the Service, or your breach of these Terms.
13. Changes to the Service and these Terms
We may assign our rights under these Terms in connection with a merger, acquisition or sale of assets. You may not assign your rights without our consent. We are not liable for delays or failures in performance caused by events beyond our reasonable control.
14. Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which Ecomverge LLC is established, without regard to conflict-of-law rules. The courts of that jurisdiction have exclusive jurisdiction over any dispute arising from these Terms, except where mandatory local consumer law grants you the right to bring proceedings in your country of residence.
